Job Summary
The Manager, Global Audit, Risk & Governance provides independent assurance and oversight across the Group’s international operations, investments and renewable energy projects outside China.
The role leads risk-based internal audits, enterprise risk management, governance and internal control frameworks, compliance reviews and project assurance, while identifying emerging financial, operational, project and regulatory risks.
Working closely with senior management and regional teams, the role strengthens governance across overseas subsidiaries and SPVs, establishes consistent risk and control standards, and provides independent insights and recommendations to senior management and the Board to support effective risk management and sustainable international growth.
Job Responsibilities
1.Global Internal Audit & Assurance
Lead risk-based internal audits and governance reviews across the Group’s international subsidiaries, SPVs, investments and renewable energy projects outside China.
Develop annual and risk-based audit plans covering financial, operational, project, compliance and governance risks.
Assess the effectiveness of internal controls, business processes, delegated authorities and management oversight.
Identify control weaknesses, irregularities, process gaps, potential leakage and non-compliance, and recommend corrective and preventive actions.
Conduct targeted or ad-hoc reviews where significant risk, control or governance concerns arise.
2. Enterprise Risk Management & Risk Framework
Develop and maintain the Group’s risk management framework for international operations and investments.
Establish consistent methodologies for risk identification, assessment, prioritization, mitigation, monitoring and escalation.
Maintain consolidated risk registers covering strategic, financial, operational, project, regulatory and compliance risks.
Develop Key Risk Indicators (KRIs), risk thresholds and early-warning mechanisms.
Work with business and regional teams to ensure material risks have appropriate mitigation plans, ownership and accountability.
3.Governance & Internal Control Frameworks
Develop, implement and continuously enhance governance policies, internal control frameworks, procedures and minimum control standards across international operations.
Review organisational processes, approval authorities, segregation of duties and control structures to identify governance gaps.
Establish consistent governance requirements for overseas subsidiaries, SPVs and projects while accommodating jurisdiction specific requirements.
Support the development and enhancement of policies, SOPs, approval matrices and control procedures.
Drive continuous improvement in the Group’s international governance and control environment.
4. Compliance & Policy Assurance
Conduct independent reviews of compliance with Group policies, delegated authority limits, approval matrices, investment approvals, contractual requirements and applicable regulations.
Assess whether overseas entities and business functions have appropriate compliance controls and monitoring processes.
Identify policy and compliance gaps and work with responsible teams to establish practical remediation measures.
Monitor significant compliance exceptions and ensure appropriate escalation and closure.
Support management in strengthening compliance awareness and accountability across international operations.
5. Project, Investment & CAPEX Governance
Provide independent assurance over major international investments and projects, including Solar PV, BESS, Wind, Data Centres and other clean-energy infrastructure assets.
Review Budget vs. Actual expenditure, CAPEX utilisation, procurement payments, contractor claims, change orders and material project transactions.
Assess whether expenditure and capital deployment are aligned with approved budgets, investment approvals, contracts and delegated authorities.
Monitor cost trends, funding requirements and significant project variances to identify potential exposure at an early stage.
Review project control processes across the investment lifecycle, from development and investment approval through construction, commissioning and operations.
6. Financing, Capital Deployment & Commercial Controls
Review international project funding flows, including equity injections, shareholder loans, project finance debt, green financing, subsidies and other funding sources.
Assess debt drawdowns, capital calls, financing expenditure and capital utilisation against approved financing arrangements.
Review the financial and commercial controls surrounding major EPC, equipment supply, O&M and other project contracts.
Review milestone payments, variation orders, claims, retention amounts and other material contractual obligations.
Identify funding mismatches, inefficient capital deployment, contractual exposure and weaknesses in commercial controls.
7. Overseas Subsidiary & SPV Governance Review
Conduct governance, risk and control reviews of overseas subsidiaries, joint ventures and project SPVs.
Assess the adequacy of local financial, operational, compliance and governance controls against Group requirements.
Review material intercompany transactions, shareholder funding and other cross-border arrangements for appropriate governance, transparency and approval.
Identify control and governance gaps arising from international expansion, new market entry or changing business models.
Recommend scalable governance structures and controls as the Group expands internationally.
8. Risk Monitoring & Early-Warning
Develop dashboards, KRIs and other monitoring mechanisms to identify emerging risks across the Group’s international portfolio.
Monitor significant indicators including cost escalation, liquidity pressures, project delays, control exceptions, compliance issues and deteriorating project performance.
Conduct targeted reviews where significant deviations or emerging risks are identified.
