JOB DESCRIPTION: COUNSEL / ASSOCIATE DIRECTOR / SALARIED PARTNER

Collyer Law LLC is looking for a senior lawyer (with at least 8-12 years of PQE) for its Practice Areas of Mergers & Acquisitions and Capital Markets, to join an award-winning boutique Singapore law firm that is poised well for further growth.

Specific responsibilities include:

Mergers & Acquisitions

You will be involved with a full spectrum of cross-border corporate M&A and transactional work, particularly in sectors associated with technology, life-sciences or innovative industries. We usually act as Singapore counsel, working with International Counsel or other top-tier Asian law firms, for acquirers. You will be responsible for drafting and negotiating a broad range of corporate transactional documents including Share Purchase Agreements, Asset Purchase Agreements, Restated and Amended Shareholders' Agreements and ancillary documents.

Capital Markets

You will act as Singapore counsel on equity capital markets transactions, including listings and secondary fundraisings on the SGX-ST (Mainboard and Catalist), and listings of Singapore-incorporated issuers on overseas exchanges such as AIM, AQSE and the US markets. The work spans pre-IPO reorganisations and cap table clean-up, legal due diligence and verification, prospectus and admission document input, Singapore law opinions, and post-admission continuing obligations, including disclosure, interested person transactions and shareholder approvals. You will work closely with international counsel, nominated advisers, sponsors, underwriters and reporting accountants, and will be expected to hold the Singapore law workstream independently.

You will also be involved in supporting the Directors (i.e., Equity Partners) in supervising deals and matters that they bring in, and mentoring more junior lawyers.

You will also have the opportunity to contribute to new business development and growth initiatives through participation in strategic projects with high business impact and visibility.

Key requirements include:

At least 8-12 years' experience in top-tier Singapore or international law-firm, or solid experience in-house in these Practice Areas.

Demonstrable Singapore capital markets experience, whether on SGX Mainboard or Catalist transactions and continuing obligations, or as Singapore counsel on overseas listings by Singapore-incorporated issuers.

Working knowledge of the Securities and Futures Act 2001, the SGX-ST Listing Manual (including the Catalist Rules), the Singapore Code on Take-overs and Mergers, and the Companies Act 1967.

Professional admission in Singapore.

Excellent academic background.

Strong knowledge of law, and keen commercial judgement.

Significant experience in managing and executing large volumes of work.

Excellent technical skills with a practical approach to problem-solving.

Ability to handle pressure and work to challenging deadlines.

Excellent English communication, both verbal as well as written.

Ability to work in a multi-cultural and collegiate law-firm environment, and to work both autonomously and as part of a team as and when required.

A desire and ability to grow professional profile and to assume a leading role.
